- - $225 per hour for my time, whether it is for travel, general consultation, supervision, etcetera. Travel time is charged from portal to portal.
- - $250 per hour for time spent due to an order to appear, such as a deposition, court date or arbitration.
- - All expenses, including but not limited to rented equipment, vehicles or plane fare, shall carry a 5% surcharge. Personal vehicle expenses will be billed based on $.58 per mile.
Client shall indemnify and hold Terry Keast harmless from any and all claims, including third-party claims, losses, liabilities, damages, expenses, and costs, including, without limitation, reasonable attorneys fees, and including costs incurred in the settlement or avoidance of any such claims that result from or in in connection with (i) a breach of contract by Terry Keast, (ii) any claims by the underlying represented party (Client's retained customer) in connection with the work performed by Terry Keast, (iii) any claims for bodily injury or property damage arising out of Terry Keast's scope of work stated herein or the performance of work by Terry Keast. Client agrees that the defense of Terry Keast pursuant to this provision shall not be limited by any alleged or actual finding of comparative fault on the part of Terry Keast or his employees, including a finding of sole fault by Terry Keast. Terry Keast shall have the right to select counsel in the event of a claim or loss as outlined herein, and that Terry Keast shall have the right to control its defense or settlement thereof.
LIMITATION OF LIABILITYThe remedies of the Client set forth herein are exclusive. The liability of Terry Keast for any claims, damages, or losses arising out of or related to Terry Keast's performance under this agreement or based on any corresponding liability for work performed by Terry Keast, shall not exceed one-half (1/2) of the price of the services performed under this agreement. In no event shall Terry Keast be responsible for any damages incurred as a result of its performance under this agreement, including indirect, consequential, or incidental damages, including lost profits, lost rents, or additional legal or consulting time incurred by Client or Client's customer, regardless of whether the liability is based on negligence, breach of contract, breach of warranty, or otherwise.
